If you are a Company Director, you are responsible for filing the company accounts each year with Companies House - regardless of whether that company has traded or not. If the company has traded, then Companies House requires a Profit and Loss and Balance Sheet. If the company has NOT traded, then dormant accounts are required to be filed.

Many people buy a limited company off the shelf to keep the name for themselves - to protect the IP (intellectual property) and they have no intention of actually using the company to trade.
